Please review these terms carefully before accessing or using the LegalPal software platform, mobile apps, and associated communication services.

LegalPal Inc. is a legal technology software provider. LegalPal is not a law firm, does not provide direct legal advice or representation, and does not participate in legal fees. Using our software or AI intake tools does not establish an attorney-client relationship.

1. Acceptance of Terms
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Law Firm", "Client", or "you") and LegalPal Inc. ("LegalPal", "we", "us", or "our") concerning your access to and use of the website at legalpal.app (and getlegalpal.com), our web and mobile applications, AI prompt discovery tools, encrypted chat channels, e-signature engines, and all associated services (collectively, the "Services").
By creating an account, accessing our applications, submitting an intake inquiry, or clicking "I Agree", you explicitly acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you are prohibited from using the Services and must discontinue use immediately.
2. Description of Services
LegalPal delivers a zero-trust legal operations and client communication platform designed to streamline law practice workflows, including but not limited to:
- AI Prompt Legal Triage & Intake: Automated interactive discovery questionnaires that assist prospective clients in organizing relevant facts and connecting with licensed legal practitioners.
- Encrypted Multi-Channel Messaging: Secure end-to-end communication channels supporting SMS, WhatsApp, and in-app client portals with real-time translation capabilities.
- Mobile App Builder: No-code mobile application generation tools enabling law practices to deploy branded client portals to iOS and Android app stores.
- E-Signatures & Document Review: Legally compliant electronic signature workflows, document generation, and audit trail record keeping.
- Practice Management Integrations: API connectivity with third-party CRM, legal billing, and cloud storage providers.
3. No Legal Advice & No Attorney-Client Relationship
LEGALPAL IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. The software, AI prompt assistants, templates, forms, summaries, and information provided across the Services are for administrative, organizational, and informational purposes only.
No attorney-client relationship is formed between you and LegalPal Inc. by your use of the Services. Any communication through LegalPal prior to formal engagement with an attorney does not constitute privileged legal advice from LegalPal. If you require legal representation, consultation, or counsel, you should consult with a licensed attorney in your appropriate jurisdiction.
4. User Accounts, Credentials & Eligibility
To access certain features of the platform, you may be required to register for an account. You agree to:
- Provide true, accurate, current, and complete information during registration and form submission.
- Maintain the confidentiality of your login credentials, passkeys, and authentication tokens.
- Immediately notify LegalPal at support@legalpal.app of any unauthorized use or security breach of your account.
- Accept full responsibility for all activities that occur under your account credentials.
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use LegalPal.
5. Law Firm & Legal Practitioner Obligations
If you use LegalPal as an attorney, law firm, paralegal, or legal practice administrator:
- You represent and warrant that you are duly licensed, in good standing, and authorized to practice law in the applicable jurisdictions where you offer legal services.
- You maintain sole responsibility for ensuring your use of LegalPal complies with all applicable Rules of Professional Conduct, State Bar ethics regulations, client trust accounting rules, and advertising guidelines.
- You retain independent professional judgment regarding all client intake reviews, document drafts, and case evaluations generated or organized through the platform.
6. SMS & Mobile Messaging Terms (TCPA & 10DLC Compliance)

By checking the consent box on our intake forms or opting into text notifications, you agree to receive case updates, appointment reminders, and administrative notifications from LegalPal and your connected legal representative.
- Message Frequency: Message frequency varies based on your case status and appointment schedule.
- Rates: Message and data rates may apply depending on your wireless carrier plan.
- Opt-Out: You may opt out of SMS communications at any time by replying STOP to any text message. You will receive a one-time confirmation text.
- Help: For assistance, reply HELP or email support@legalpal.app.
- Carriers: Wireless carriers are not liable for delayed or undelivered messages.
- Data Protection: Text messaging originator opt-in data and consent will not be shared with any third parties or affiliates for marketing purposes.
7. Electronic Signatures & Document Execution
LegalPal provides electronic signature capabilities compliant with the United States Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA).
By executing a document via LegalPal, you agree to conduct transactions electronically and acknowledge that your electronic signature carries the same legal validity, force, and effect as a handwritten physical signature. LegalPal generates tamper-evident audit logs recording timestamps, IP addresses, and identity verification events.
8. Data Privacy & Zero-Trust Architecture
Your privacy and data security are fundamental to our architecture. We employ zero-trust security standards, client-side encryption, and strict role-based access control. All personal information and case files are processed in accordance with our Privacy Policy.
We do not sell client data, case files, or intake records to third-party data brokers or advertisers.
9. Subscriptions, Fees & Billing
Certain features of LegalPal require paid recurring subscriptions or per-usage fees. By subscribing to a paid tier:
- You agree to pay all applicable subscription fees, taxes, and transaction charges in accordance with the billing terms presented at checkout.
- Subscriptions renew automatically on a monthly or annual basis unless cancelled prior to the renewal date via your account dashboard.
- Refunds are evaluated in accordance with our subscription policy or applicable statutory consumer protection rights.
10. Intellectual Property Rights
The Services, including all software code, interface designs, vector animations, logos, documentation, and trade secrets, are the exclusive property of LegalPal Inc. and its licensors, protected by United States and international copyright, trademark, and patent laws.
You retain full ownership of all client files, firm assets, and confidential case data ("User Content") that you upload or transmit through the platform. You grant LegalPal a limited, non-exclusive license to host, process, and transmit User Content solely as necessary to provide and maintain the Services.
11. Third-Party Integrations & Links
LegalPal may integrate with or contain links to third-party services (such as Clio, MyCase, Google Workspace, Zapier, Stripe, or Cloudflare). We do not control and are not responsible for the availability, accuracy, or privacy practices of external third-party software.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
LEGALPAL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, TIMELY, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE PROMPTLY CORRECTED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEGALPAL INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS OR INABILITY TO USE THE SERVICES.
LEGALPAL'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO LEGALPAL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
14. Dispute Resolution & Governing Law
These Terms and any dispute arising out of or related to your use of LegalPal shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to any conflict of law principles.
Any legal action, suit, or proceeding arising under these Terms shall be instituted exclusively in the state or federal courts located in San Francisco County, California, and each party irrevocably submits to the personal jurisdiction of such courts.
